My Plannery, Inc. ("MyPlannery", "Plannery," "we," "us," "our") provides its services to you through its website located at [www.myplannery.com] (the "Site") and related applications and services (collectively, the "Service(s)"). These Terms of Service (the "Terms") govern your use of the Services. By accessing or using the Services, you agree to comply with and be bound by these Terms. If you do not agree, you may not use the Services.

We may update our policies relating to payments, fees, pricing, compliance requirements, or dispute resolution in response to changes in law, card network rules, NACHA rules, banking partner requirements, or processor requirements, and such updates will be effective immediately upon posting unless otherwise stated.

Acceptance of Terms

By accessing or using MyPlannery’s Services, you agree to these Terms, including any additional terms and policies referenced herein. MyPlannery reserves the right to update these Terms at any time. Changes will be posted on the Site, and we may notify users via email or a platform notification at least 30 days in advance when required by law.

Description of Services

MyPlannery offers tools for event planning and business management, including booking, invoicing, client management, payment processing, reporting, compliance tools, and related operational features. Additional features may be added, modified, or removed at our discretion.

MyPlannery does not act as your agent, fiduciary, financial advisor, or escrow provider in connection with payment services. All payment transactions are solely between you and your customers.

User Eligibility

The Services are available to users aged 18 and older. By using the Services, you confirm you meet this requirement. If you are under 18 but at least 16, your parent or legal guardian must agree to these Terms on your behalf and is responsible for your use of the Services.

Registration and Account Security

To access certain features, you must register an account. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your login credentials. You are responsible for all activities under your account.

You agree not to impersonate others, create accounts for fraudulent purposes, or use the Services for illegal activity. MyPlannery reserves the right to suspend or terminate accounts suspected of fraud, money laundering, regulatory violations, or violations of card network, NACHA, or processor rules.

Fees and Payment

Subscription Plans

MyPlannery offers subscription-based access to premium features. Details on pricing will be outlined on the Site. Annual subscription plans may offer a discount compared to monthly plans, and users can switch between plans under specific conditions outlined on the Site. Switching plans may result in prorated charges. Refunds for unused portions of subscriptions will be issued only in cases where mandated by law or explicitly outlined in our refund policy.

Transaction Fees

MyPlannery charges transaction-based fees for payments processed through the platform. Specific rates will be disclosed during onboarding, in pricing materials, or on our website.

Optional Features and Non-Refundable Fees

Certain features within the Services, including but not limited to Account Updater, instant payouts, compliance tools, surcharging compliance services, reporting features, tax document services, and similar enhancements, may be optional and may incur additional usage-based fees. Enabling such features may result in charges as outlined on our Site or during onboarding.

Fees associated with the use of optional features are non-refundable, including where you later disable the feature after it has been used. You are responsible for reviewing and managing feature activations within your account.

Promotional Discounts

MyPlannery may offer promotional discounts through promo codes or special offers. Promo codes must be redeemed at the time of purchase and are subject to expiration dates and restrictions. Promotional offers cannot be combined unless explicitly stated.

Refund Policy

Users may request refunds in accordance with MyPlannery’s refund policy, which will be made available on the Site.

Disputes, Chargebacks, and Returns

You are solely responsible for all refunds, disputes, chargebacks, ACH returns, reversals, penalties, and network fines arising from your customers’ use of the Services.

Refunds, reversals, chargebacks, disputes, ACH returns, or other transaction adjustments do not result in the return or credit of processing fees, compliance platform fees, surcharging compliance fees, usage-based fees, or any other platform fees, all of which are non-refundable once a transaction is processed.

If you issue a refund for a transaction that included a surcharge, you are solely responsible for refunding the full amount charged to your customer, including the surcharge. MyPlannery will not reimburse or credit any related fees.

Platform Cost Recovery; Authorization to Debit; Negative Balances

You acknowledge and agree that certain fees, costs, assessments, penalties, taxes, filing charges, reporting charges, processor-imposed charges, compliance costs, documentation costs, mailing costs, and other amounts may be imposed on MyPlannery by payment processors, sponsor banks, financial institutions, card networks, government agencies, or third-party service providers as a result of your use of the Services, your transactions, your account activity, or regulatory obligations (collectively, “Recoverable Costs”).

Recoverable Costs include, without limitation:

  • ACH return fees
  • Dispute and chargeback fees
  • Network assessments and penalties
  • IRS e-filing fees and state filing fees
  • Mailing and document processing fees
  • Tax reporting and filing costs
  • Compliance, regulatory, or reporting costs
  • Processor-imposed service charges
  • Verification, underwriting, or account review costs
  • Account maintenance or servicing costs imposed by third parties
  • Any third-party fees incurred in connection with your account

You expressly authorize MyPlannery to recover all Recoverable Costs from you.

Sources of Recovery

To satisfy any Recoverable Costs, you authorize MyPlannery, without additional notice and to the fullest extent permitted by law, to:

  • Debit your linked bank account(s)
  • Charge any payment method on file
  • Deduct amounts from current payouts
  • Deduct amounts from future payouts
  • Offset amounts against funds otherwise payable to you
  • Apply funds held in reserve
  • Create a negative balance on your account
  • Issue invoices for payment

This authorization applies whether costs are incurred directly by MyPlannery or passed through by processors, banks, networks, or third-party service providers.

Future Payout Offset

If sufficient funds are not available at the time a Recoverable Cost is incurred, you agree that MyPlannery may recover such amounts from:

  • Your next payout(s)
  • Any future funds processed through the platform
  • Any funds held in reserve
  • Any other amounts payable to you

This right continues until all amounts owed are fully satisfied.

Negative Balance Authorization

If Recoverable Costs exceed available funds, your account may reflect a negative balance. You agree that:

  • You remain fully responsible for repayment of any negative balance
  • MyPlannery may continue attempting recovery from future payouts, bank debits, or payment methods on file
  • MyPlannery may suspend payouts, restrict processing, or limit account functionality until the balance is resolved

Continuing Authorization

Your authorization for MyPlannery to debit accounts, offset payouts, and recover costs:

  • Applies to all current and future Recoverable Costs
  • Survives account closure, termination, or cancellation
  • Continues until all outstanding obligations are fully paid

Priority of Recovery

Recoverable Costs, disputes, chargebacks, returns, penalties, fines, and other liabilities may be satisfied before funds are released to you.

Failure to Pay

If Recoverable Costs cannot be recovered through the methods above, MyPlannery may:

  • Issue invoices for immediate payment
  • Suspend services
  • Restrict processing capabilities
  • Engage collection efforts
  • Pursue all available legal remedies

You agree to pay all reasonable costs associated with recovery of unpaid amounts where permitted by law.

No Obligation to Advance Funds

MyPlannery is not required to advance funds on your behalf or absorb any losses related to your transactions, disputes, compliance obligations, processor-imposed costs, or regulatory requirements.

Free Trials, Subscriptions, and Plan Changes

Free Trial

MyPlannery may offer a 14-day free trial available only to new customers and limited to one per account. The trial may include access to full features.

Automatic Billing Post-Trial

Users agree to be automatically billed (monthly or annually) for the selected subscription tier at the end of the trial period unless canceled in advance.

Cancellation Policy

If the subscription is canceled during the trial period, no charges will be applied. If canceled after the trial ends, charges for the ongoing subscription period will not be refunded.

Upgrades and Downgrades

Annual Plans

Upgrade: If you upgrade your annual plan during the billing period, you will be charged a prorated amount for the remainder of the term at the new plan level.

Downgrade: If you downgrade an annual plan, you will continue to have access to your current plan until the end of your annual billing cycle. The downgrade will take effect at renewal.

Monthly Plans

Upgrade: If you upgrade a monthly plan, you may be charged a prorated amount immediately or provided immediate access to the upgraded features with the new plan pricing applied at your next billing cycle.

Downgrade: Downgrades will take effect at the next billing cycle.

Limitations to Prevent Misuse

To ensure fairness and protect against misuse, users may not repeatedly upgrade and downgrade within short periods to avoid charges or unfairly access premium features. MyPlannery reserves the right to limit plan changes, deny prorated adjustments, or suspend accounts engaging in abusive activity.

User Content

You retain ownership of any content you upload. By uploading content, you grant MyPlannery a license to use such content solely for operating and improving the Services. Aggregated and anonymized data may be used for analytics, fraud prevention, compliance, and service improvement.

You represent and warrant that your content does not infringe on third-party rights or violate applicable laws.

Payment Processing

MyPlannery partners with Stripe and other payment partners for payment processing. By using the Services, you agree to Stripe’s terms and all applicable card network and NACHA rules.

You acknowledge that MyPlannery does not control payment processors, banks, or networks and is not responsible for delays, errors, or losses caused by them.

ACH Authorization

By providing and saving your bank account information, you authorize MyPlannery, Inc. to debit your account for:

  • Subscription fees
  • Transaction-related fees
  • Usage-based fees
  • Recoverable Costs described in these Terms
  • Any other authorized payments

You also authorize credits to your account for refunds or error corrections and reinitiation of debits if a payment is returned. This authorization remains in effect until revoked by removing your bank account or contacting support, provided revocation does not affect amounts already owed.

By paying an invoice through MyPlannery, your customer authorizes MyPlannery to debit their bank account or charge their card on your behalf. You are responsible for providing accurate customer information and refunding invalid or disputed transactions.

Transaction Limits

To comply with card network, banking, and risk management requirements, MyPlannery and its payment partners may apply transaction and volume limits. Limits may vary based on account age, processing history, verification status, risk profile, and regulatory requirements. MyPlannery reserves the right to modify limits at any time.

Card Type Acceptance and Unknown Cards

Merchants may elect to enable or disable acceptance of certain card types. However, if a transaction is received with a card type classified as unknown by the payment network or processor, MyPlannery will process the transaction regardless of merchant preferences. If fee pass-through is enabled, no processing fee will be applied to unknown card types to avoid inadvertently surcharging debit cards. MyPlannery disclaims responsibility for transactions misclassified by networks or processors.

Third Party Integration

MyPlannery may integrate with third-party services to enhance platform functionality. MyPlannery does not own or control third-party services and disclaims liability for any issues associated with them. Your use of third-party services is subject to their respective terms.

Privacy Policy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

Intellectual Property

MyPlannery retains all rights to its proprietary software, trademarks, and intellectual property. Users may not copy, distribute, reverse engineer, or create derivative works without authorization.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Termination

MyPlannery may suspend or terminate your account for violations of these Terms or prolonged inactivity defined as 12 months of no activity.

Termination does not relieve you of outstanding obligations, including fees, Recoverable Costs, negative balances, disputes, chargebacks, compliance obligations, or other financial responsibilities. All recovery rights survive termination.

Limitation of Liability

To the maximum extent permitted by law, MyPlannery is not liable for indirect, incidental, special, punitive, or consequential damages. MyPlannery’s total liability will not exceed the total fees you paid in the three months preceding the claim.

Arbitration Agreement

All disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. You waive the right to a jury trial or class action participation. You may opt out by notifying hello@myplannery.com within 30 days of agreeing to these Terms.

Indemnification

You agree to indemnify and hold harmless MyPlannery from any claims, damages, losses, liabilities, or expenses arising out of your use of the Services, your customers’ use of the Services, your breach of these Terms, disputes, chargebacks, regulatory violations, or Recoverable Costs associated with your account.

Disclaimer of Warranties

The Services are provided “as is” and “as available.” MyPlannery makes no warranties regarding uptime, availability, security, or fitness for a particular purpose.

  • Compliance: Comply with legal obligations, card network rules, and enforce our Terms of Service.

Legal Basis for Processing: We process personal data under the following legal bases: (a) consent for marketing activities, (b) performance of a contract, (c) compliance with legal obligations.

We retain personal information for as long as necessary to provide our Services, comply with legal obligations, resolve disputes, and enforce our agreements. Certain payment and transaction data may be retained longer as required by law, card network rules, or regulatory obligations. Marketing data will be retained for 7 years unless you opt out.

Plannery does not knowingly collect information from individuals under the age of 13 and complies with the Children’s Online Privacy Protection Act (COPPA). If we learn that we have collected such information, we will delete it promptly. If you believe we have collected data from a child under 13, please contact us.

  1. International Users

If you access our Services outside the United States, your information may be transferred to and processed in the United States or other countries with different data protection laws. Where required, we use appropriate safeguards such as Standard Contractual Clauses (SCCs).
